By accessing or using NovaBiz OS ("the Platform"), you agree to these Terms. If you are using the Platform on behalf of a business, you represent that you have authority to bind that business.
NovaBiz OS provides an AI-powered business operating system including bookkeeping automation, payroll processing, marketing tools, sales management, procurement automation, cash flow forecasting, and compliance monitoring.
Important: NovaBiz OS is a software tool, not a licensed accounting firm, law firm, or financial advisor. For complex tax, legal, or financial decisions, consult a qualified professional.
You must be 18 or older, legally authorized to operate a business in your jurisdiction, provide accurate registration information, and maintain the security of your account credentials. One account per business entity (additional locations require Enterprise plan).
You may not use NovaBiz OS to violate any applicable law, process transactions for illegal goods or services, circumvent taxes or engage in financial fraud, attempt to reverse-engineer or resell the platform, upload malicious code, or misrepresent your business.
You remain legally responsible for all bookkeeping, payroll, tax filings, and financial records. AI recommendations should be reviewed periodically. You are responsible for setting appropriate approval thresholds in CommandInbox.
For PayrollAI users: you authorize NovaBiz OS to initiate payroll transactions on your behalf. You are responsible for ensuring sufficient funds before payroll dates and for all employment tax obligations. NovaBiz OS is not an employer of record.
Bank connections are established via read-only API tokens — we cannot move money without your explicit instruction. Payment processing is handled by Stripe. You may disconnect any integration at any time from your account settings.
Subscription fees are billed monthly in advance. Annual plans are billed annually and are non-refundable except as required by law. We provide 30 days' notice before any price increases. If payment fails, we retry 3 times over 7 days before suspending your account.
14-day free trial, no credit card required. At the end of the trial, you will be prompted to enter payment to continue. Trial accounts have full access to your selected plan features.
NovaBiz OS owns all rights to the platform, AI models, software, design, and associated intellectual property. You retain ownership of your business data. You grant us a license to process your data solely to provide the Services. Your individually identifiable business data is never used to train models sold to third parties.
THE PLATFORM IS PROVIDED "AS IS." TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVABIZ OS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE OR THAT AI-GENERATED OUTPUTS WILL BE 100% ACCURATE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
NovaBiz OS maintains E&O insurance covering AI-generated financial actions. Claims must be reported within 90 days of discovery.
Either party may terminate at any time. Your access ceases at the end of your current billing period. You may export all data within 60 days of termination.
These Terms are governed by the laws of the State of Delaware. Disputes shall be resolved by binding arbitration administered by the American Arbitration Association. Class action waiver: disputes must be resolved individually.
We will notify you of material changes 30 days in advance via email and in-app notification.
